BioAge Labs, Inc., a clinical-stage biopharmaceutical company targeting metabolic diseases through ageing biology, has priced an upsized underwritten public offering of 5,897,435 shares of common stock at $19.50 per share, the company said. The offering is expected to raise approximately $115 million in gross proceeds before underwriting discounts and expenses and to close on or about January 23, 2026, subject to customary conditions. BioAge also granted underwriters a 30-day option to purchase up to an additional 884,615 shares.
Goldman Sachs & Co. LLC, Piper Sandler and Citigroup are acting as joint book-running managers for the transaction, which is being conducted under a Form S-3 registration statement that became effective in November 2025. All shares are being offered by BioAge rather than existing shareholders.
According to the company, net proceeds from the offering, together with existing cash, cash equivalents and marketable securities, will be used to fund research, clinical and process development and manufacturing of its therapeutic candidates, including its lead oral NLRP3 inhibitor BGE-102, and to support further development of its NLRP3 and APJ programmes, working capital, capital expenditures, reduction of indebtedness and other general corporate purposes.
BioAge’s pipeline developments include ongoing Phase 1 studies for BGE-102 and expanded research into metabolic and retinal disease indications, reflecting the company’s broader strategy to leverage insights from human ageing biology in drug discovery and clinical development.
