Serina Therapeutics has entered definitive agreements for a private placement that will raise $15 million in gross proceeds in a first tranche expected to close March 20, 2026, with a second tranche of up to $15 million available on or before April 30, 2026.

The securities include common stock and pre-funded warrants priced at $2.25 per share and 50% warrant coverage priced at $5.00 per share.

The company claims exercise of the warrants could generate up to an additional $33.3 million. According to the company, proceeds will support the single-ascending dose registrational study arm of SER-252 under a 505(b)(2) NDA pathway.

The company reports dosing is underway in Australia, and the Phase 1b study will enroll patients in Australia and the United States. A blinded review of Cohort 1 is expected to support advancement to Cohort 2 in the third quarter of 2026, and topline SAD results are targeted in the first half of 2027.

The transaction is led by Greg Bailey, M.D., who will assume the role of Co-Chairman of the board, and includes an amendment to an existing senior unsecured convertible promissory note.
